Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mayra - Order Edit & Upsell application ("App") provided by Mobinyze ("Mayra", "we", "us"). By installing or using the App, you ("you", "merchant") agree to these Terms. If you do not agree, do not install or use the App.

1. The service

The App lets your customers edit, cancel, and add to their orders after checkout, applies balance and refund settlements through Shopify, and offers post-purchase upsells and cancellation store-credit offers, subject to the rules you configure. Features may change over time.

2. Eligibility and accounts

You must have a Shopify store and comply with Shopify's Terms of Service and API terms. You are responsible for the configuration you choose (for example, edit windows, allowed actions, refund handling, and store-credit offers) and for the outcomes those settings produce on your orders.

3. Fees

The App is currently free while in early access. We may introduce paid plans in the future; if we do, we will provide notice, and any paid features will be billed through Shopify's billing systems, subject to your agreement.

4. Acceptable use

You agree not to: misuse the App; attempt to gain unauthorized access; interfere with its operation or security; use it to violate any law or third-party rights; or use it other than as intended for managing your own store's orders.

5. Customer-initiated changes

The App enables your customers to make changes to their own orders within the limits you set. You acknowledge that permitting self-service edits, cancellations, refunds, and store-credit offers is at your discretion and risk, and that Mayra applies these changes through Shopify's APIs based on your settings and your customers' actions.

6. Data and privacy

Your use of the App is also governed by our Privacy Policy. For your customers' personal data, you are the data controller and Mayra is a processor acting on your instructions.

7. Intellectual property

Mayra and its underlying software are owned by us and our licensors. These Terms do not grant you any rights in our intellectual property except the limited right to use the App as permitted here.

8. Disclaimers

The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that it will meet your specific requirements.

9. Limitation of liability

To the maximum extent permitted by law, Mayra will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the App. Our total liability for any claim relating to the App will not exceed the greater of the amounts you paid us for the App in the 12 months before the claim (which may be zero during the free period) or USD 100.

10. Indemnification

You agree to indemnify and hold Mayra harmless from claims arising out of your use of the App, your configuration choices, or your violation of these Terms or applicable law.

11. Termination

You may stop using the App at any time by uninstalling it. We may suspend or terminate access if you violate these Terms or if required for security or legal reasons. Upon termination, the rights granted here end; data handling on termination is described in our Privacy Policy.

12. Changes

We may update these Terms from time to time. Material changes will be posted with a new effective date; continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at Pune, Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the App, unless applicable law requires otherwise.
